End-User License Agreement (EULA)

This End-User License Agreement ("EULA") governs your use of the software and services provided by Labelme.io, including the Labelme Annotation Tool and additional proprietary features (collectively, the "Services"). By downloading, installing, accessing, or using any part of the Services, you agree to be bound by this EULA. If you do not agree, do not use the Services.
1. Definitions
- Labelme Annotation Tool: Refers to the compiled software application available for purchase or download from https://labelme.io, which is a pre-built version of the open-source Labelme software available at https://github.com/wkentaro/labelme.
- Proprietary Features: Refers to additional features or services provided by Labelme.io, such as AI-powered annotation tools, cloud-based services, or other premium modules, which are not part of the Labelme Annotation Tool.
- You or User: Refers to the individual or entity accessing or using the Services.
2. License for Labelme Annotation Tool (GPLv3)
The Labelme Annotation Tool, whether downloaded for free or purchased for convenience from https://labelme.io, is licensed under the GNU General Public License v3.0 (GPLv3). The GPLv3 governs your use, modification, and distribution of the Labelme Annotation Tool. Key terms include:
- Rights Granted: You may freely use, copy, modify, and distribute the Labelme Annotation Tool, provided any derivative works are also licensed under GPLv3.
- Source Code: The complete source code for the Labelme Annotation Tool is available at https://github.com/wkentaro/labelme. If you purchase the compiled version, you are entitled to access this source code under GPLv3 terms.
- License Text: The full GPLv3 license is available at https://github.com/wkentaro/labelme/blob/main/LICENSE and is included with the compiled tool.
- No Additional Restrictions: No additional terms or restrictions beyond the GPLv3 apply to the Labelme Annotation Tool. Any purchase fee is for the convenience of receiving a pre-compiled binary and does not limit your GPLv3 rights.
- No Warranty: The Labelme Annotation Tool is provided "as is" without warranty of any kind, as stipulated in the GPLv3.

3. License for Proprietary Features
All Proprietary Features offered by Labelme.io, including but not limited to AI-powered annotation tools, cloud-based services, and premium modules, are licensed under proprietary terms as follows:
- Grant of License: Labelme.io grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Proprietary Features solely for your personal or internal business purposes, subject to compliance with this EULA and any applicable Terms of Service (available at https://labelme.io/terms).
- Restrictions: You may not:
- Copy, modify, reverse-engineer, decompile, or disassemble the Proprietary Features, except as permitted by applicable law.
- Distribute, sell, lease, or sublicense the Proprietary Features to third parties.
- Use the Proprietary Features in a manner that violates this EULA, the Terms of Service, or applicable laws.
- Subscription and Payment: Access to Proprietary Features may require a paid subscription or one-time purchase. Payment terms are governed by the Terms of Service.
- Ownership: All Proprietary Features, including associated intellectual property rights, are owned by Labelme.io or its licensors. This EULA does not transfer ownership of any kind.
- Updates and Support: Labelme.io may provide updates, enhancements, or support for Proprietary Features at its discretion, subject to the Terms of Service.
4. Separation of Licenses
The Labelme Annotation Tool (GPLv3) and Proprietary Features (proprietary license) are distinct offerings. The GPLv3 applies only to the Labelme Annotation Tool and does not extend to Proprietary Features. Conversely, the proprietary terms in this EULA and the Terms of Service apply only to Proprietary Features and do not restrict your rights under the GPLv3 for the Labelme Annotation Tool.
5. Termination
- Labelme Annotation Tool: Your rights under the GPLv3 for the Labelme Annotation Tool are perpetual, as per the GPLv3 terms, unless you violate its conditions (e.g., by imposing unauthorized restrictions on redistribution).
- Proprietary Features: Labelme.io may terminate your license to use Proprietary Features if you breach this EULA or the Terms of Service. Upon termination, you must cease using the Proprietary Features and destroy any copies in your possession.
6. No Warranty for Proprietary Features
The Proprietary Features are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Labelme.io does not guarantee that the Proprietary Features will be error-free or uninterrupted.
7. Limitation of Liability
To the maximum extent permitted by law, Labelme.io and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Proprietary Features is to stop using them.
8. Governing Law
This EULA is governed by the laws of [Your Jurisdiction, e.g., California, USA], excluding its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the courts of [Your Jurisdiction].

10. Entire Agreement

If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in effect.
By using the Services, you acknowledge that you have read, understood, and agree to be bound by this EULA.
