End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is an agreement between you and Labelme.io for the Software. By downloading, installing, or using the Software, you agree to this EULA. If you do not agree, do not download, install, or use the Software.
1. Definitions
- "Labelme.io", "we", "us", or "our" means Kentaro Wada, trading as Labelme.io.
- "Software" means the Labelme desktop application distributed from https://labelme.io, including any functionality enabled by a License Key, together with its installers and documentation.
- "License Key" means a key we issue for a purchase that unlocks the Software beyond the trial.
- "Seat" means the right of one named individual to use the Software under a purchase.
- "You" means the individual who uses the Software or, if that individual uses it on behalf of an organization, that organization.
2. Scope
This EULA applies to releases of the Software from version 7.8.0 onward, which are commercially licensed. The Labelme source code at https://github.com/wkentaro/labelme and the labelme package on PyPI remain licensed under the GNU General Public License version 3 ("GPL-3.0") and are not governed by this EULA. Copies of the Software delivered before version 7.8.0 keep the GPL-3.0 grant they were delivered under, reproduced under "Previous version" at https://labelme.io/eula.
3. License Grant
Subject to this EULA and payment for your purchase, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software, for any lawful purpose including commercial use, on the following terms:
- Each Seat is for one named individual, who may install and use the Software on any number of devices they use. A Seat may not be used by more than one individual.
- A Team purchase consists of multiple Seats. The holder of record of a Team purchase may reassign a Seat to another individual by contacting support@labelme.io; the reassigned Seat keeps its entitlement as is. The License Key of a Team purchase may be shared among the individuals who hold that purchase's Seats.
- Every other purchase, including Pro and Pro Lifetime, is one Seat for the individual who made it and is not reassigned.
4. Updates
A License Key covers every release of the Software dated on or before the key's updates-until date. A key without an updates-until date, such as a Pro Lifetime key, covers every release. A covered release keeps working after the updates-until date passes. A release dated after that date requires a new purchase.
5. Trial
Without a License Key, the Software runs as a trial. During the trial period, you may use the same Software for evaluation, for any purpose. After the trial period, you need a License Key to continue using the Software.
6. Restrictions
Except as this EULA, a license under Section 8, or applicable law expressly permits, you may not:
- copy, distribute, sell, rent, lease, lend, or sublicense the Software, or provide it to others as a hosted service;
- share a License Key with anyone other than the holders of the Seats of the same Team purchase;
- reverse engineer, decompile, or disassemble the Software;
- remove or alter any proprietary notices in the Software.
You will not, and will not permit any third party to, circumvent, disable, or otherwise interfere with the License Key verification, trial limitation, or any other technical measure that controls access to or use of the Software, or create, use, or distribute any key generator, patch, or other means to do so.
7. Ownership
The Software is licensed, not sold. Labelme.io and its licensors retain all rights in the Software not expressly granted in this EULA.
8. Open-Source Components
The Software includes components licensed under open-source licenses, including the Qt and Qt for Python (PySide6) libraries under the GNU Lesser General Public License version 3 ("LGPL-3.0") and other components under GPL-3.0 and further licenses identified in the notices supplied with the Software. Those components are governed by their own licenses, and nothing in this EULA limits, restricts, or adds conditions to the rights those licenses grant you. In particular:
- You may modify the LGPL-3.0 libraries in the Software and replace them with modified versions, and you may reverse engineer the Software to the extent needed to debug such modifications. The replacement procedure for each platform is published at https://labelme.io/legal-notices.
- Where a component license entitles you to its source code, the notices supplied with the Software tell you how to obtain it.
9. AI Models
The Software uses AI models, such as SAM, SAM 2, SAM 3, EfficientSAM, and YOLO-World, that are downloaded separately or supplied with it. The models are not part of the Software and are not licensed under this EULA. Each model is governed by its own license, which is identified in the notices supplied with the Software.
SAM 3 is licensed by Meta under the SAM License, which you accept by using SAM 3 through the Software. Its use restrictions, reproduced verbatim from Section 1.b of the SAM License, are:
ii. If you submit for publication the results of research you perform on, using, or otherwise in connection with SAM Materials, you must acknowledge the use of SAM Materials in your publication.
iii. Your use of the SAM Materials must comply with applicable laws and regulations, including Trade Control Laws and applicable privacy and data protection laws.
iv. Your use of the SAM Materials will not involve or encourage others to reverse engineer, decompile or discover the underlying components of the SAM Materials.
v. You are not the target of Trade Controls and your use of SAM Materials must comply with Trade Controls. You agree not to use, or permit others to use, SAM Materials for any activities subject to the International Traffic in Arms Regulations (ITAR) or end uses prohibited by Trade Controls, including those related to military or warfare purposes, nuclear industries or applications, espionage, or the development or use of guns or illegal weapons.
10. Refunds
You may request a full refund within 14 days of your payment by contacting support@labelme.io. A refund ends the license granted for that purchase.
11. Termination
Your license under this EULA terminates automatically if you breach this EULA. On termination, you must stop using and delete the Software. Termination does not affect your rights under the licenses described in Section 8. Sections 7, 12, 13, and 14 survive termination.
12. No Warranty
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Labelme.io does not guarantee that the Software will be error-free or uninterrupted.
13. Limitation of Liability
To the maximum extent permitted by law, Labelme.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software, even if advised of the possibility of such damages.
14. Governing Law
This EULA is governed by the laws of Japan, excluding its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the courts of Tokyo, Japan.
15. Entire Agreement
This EULA, together with the Terms and Conditions at https://labelme.io/terms-and-conditions and the licenses described in Sections 8 and 9, constitutes the entire agreement between you and Labelme.io regarding the Software. If any provision of this EULA is found to be unenforceable, the remaining provisions remain in effect.

The agreement below applies to copies of the Labelme desktop application delivered before version 7.8.0, which remain under the GPL-3.0 grant it describes.

This End-User License Agreement ("EULA") governs your use of the software and services provided by Labelme.io, including the Labelme Annotation Tool and additional proprietary features (collectively, the "Services"). By downloading, installing, accessing, or using any part of the Services, you agree to be bound by this EULA. If you do not agree, do not use the Services.
1. Definitions
- Labelme Annotation Tool: Refers to the compiled software application available for purchase or download from https://labelme.io, which is a pre-built version of the open-source Labelme software available at https://github.com/wkentaro/labelme.
- Proprietary Features: Refers to additional features or services provided by Labelme.io, such as AI-powered annotation tools, cloud-based services, or other premium modules, which are not part of the Labelme Annotation Tool.
- You or User: Refers to the individual or entity accessing or using the Services.
2. License for Labelme Annotation Tool (GPLv3)
The Labelme Annotation Tool, whether downloaded for free or purchased for convenience from https://labelme.io, is licensed under the GNU General Public License v3.0 (GPLv3). The GPLv3 governs your use, modification, and distribution of the Labelme Annotation Tool. Key terms include:
- Rights Granted: You may freely use, copy, modify, and distribute the Labelme Annotation Tool, provided any derivative works are also licensed under GPLv3.
- Source Code: The complete source code for the Labelme Annotation Tool is available at https://github.com/wkentaro/labelme. If you purchase the compiled version, you are entitled to access this source code under GPLv3 terms.
- License Text: The full GPLv3 license is available at https://github.com/wkentaro/labelme/blob/main/LICENSE and is included with the compiled tool.
- No Additional Restrictions: No additional terms or restrictions beyond the GPLv3 apply to the Labelme Annotation Tool. Any purchase fee is for the convenience of receiving a pre-compiled binary and does not limit your GPLv3 rights.
- No Warranty: The Labelme Annotation Tool is provided "as is" without warranty of any kind, as stipulated in the GPLv3.

3. License for Proprietary Features
All Proprietary Features offered by Labelme.io, including but not limited to AI-powered annotation tools, cloud-based services, and premium modules, are licensed under proprietary terms as follows:
- Grant of License: Labelme.io grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Proprietary Features solely for your personal or internal business purposes, subject to compliance with this EULA and any applicable Terms of Service (available at https://labelme.io/terms).
- Restrictions: You may not:
- Copy, modify, reverse-engineer, decompile, or disassemble the Proprietary Features, except as permitted by applicable law.
- Distribute, sell, lease, or sublicense the Proprietary Features to third parties.
- Use the Proprietary Features in a manner that violates this EULA, the Terms of Service, or applicable laws.
- Use the Proprietary Features through a shared account, or allow more than one individual to access the Services using a single license. Each license is granted to a single named user.
- Subscription and Payment: Access to Proprietary Features may require a paid subscription or one-time purchase. Payment terms are governed by the Terms of Service.
- Ownership: All Proprietary Features, including associated intellectual property rights, are owned by Labelme.io or its licensors. This EULA does not transfer ownership of any kind.
- Updates and Support: Labelme.io may provide updates, enhancements, or support for Proprietary Features at its discretion, subject to the Terms of Service.
4. Separation of Licenses
The Labelme Annotation Tool (GPLv3) and Proprietary Features (proprietary license) are distinct offerings. The GPLv3 applies only to the Labelme Annotation Tool and does not extend to Proprietary Features. Conversely, the proprietary terms in this EULA and the Terms of Service apply only to Proprietary Features and do not restrict your rights under the GPLv3 for the Labelme Annotation Tool.
5. Termination
- Labelme Annotation Tool: Your rights under the GPLv3 for the Labelme Annotation Tool are perpetual, as per the GPLv3 terms, unless you violate its conditions (e.g., by imposing unauthorized restrictions on redistribution).
- Proprietary Features: Labelme.io may terminate your license to use Proprietary Features if you breach this EULA or the Terms of Service. Upon termination, you must cease using the Proprietary Features and destroy any copies in your possession.
6. No Warranty for Proprietary Features
The Proprietary Features are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Labelme.io does not guarantee that the Proprietary Features will be error-free or uninterrupted.
7. Limitation of Liability
To the maximum extent permitted by law, Labelme.io and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Proprietary Features is to stop using them.
8. Governing Law
This EULA is governed by the laws of Japan, excluding its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the courts of Tokyo, Japan.
